Brian tells me that the Nebraska statutes concerning corporations have
just been revised this year. As a result, there are several important
changes that affect our organization and its Articles of Incorporation.
Because of this, the Articles were rejected by the Secretary of State
and will need to be resubmitted with several minor, administrative
changes. Specifically:
- The law now requires that we explicitly state that we are a Public
Service Corporation. This was strongly implied in the current Articles,
but we need a sentence stating this to comply with the new law.
- The law also now requires that we explicitly state that our
corporation has members. This was also strongly implied in the current
Articles, but we also need a sentence stating this to comply with the
new law.
- Finally, the new law also requires that our charter officers sign the
Articles along with the incorporators.
Brian will provide the appropriate new text and I will print up the new
Articles, get them signed, and resubmitted, hopefully by early August.
